Terms of Service

These terms are an agreement between you and BAOKYN, INC. (“BAOKYN,” “we,” “us”). By creating an account or using BAOKYN, you agree to them. If you do not agree, please do not use the service.
Our Privacy Policy explains what we do with your information and is part of this agreement.
1. Who can use BAOKYN
You must be at least 16 years old.
If you are 16 or 17, a parent or guardian must approve your account before it becomes fully active. For any paid plan, they must also provide the payment method and agree to these terms on your behalf. This is because, in most places, a minor cannot enter into a binding subscription agreement alone.
You are responsible for keeping your password secure and for everything done through your account.
2. Your content is yours
You own everything you create, upload, or store in BAOKYN. Your documents, drafts, notes, recordings, transcripts, and anything made from them remain yours. We claim no ownership of them, and using BAOKYN does not transfer any rights in your work to us.
The license you give us is narrow and exists only so the service can function. You grant BAOKYN a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and process your content solely to provide the service to you — for example, to save a document, transcribe a recording you asked us to transcribe, generate a document you asked for, or show a file to someone you shared it with.
That license is limited in every direction that matters:
- It does not permit us to publish, sell, license, or distribute your work.
- It does not permit us to use your work to promote BAOKYN without asking you first.
- It does not permit us to use your work to train AI models. That is off by default and is covered in the Privacy Policy.
- It ends when you delete the content or close your account, except for copies in routine backups that expire on their own schedule.
We do not review or moderate your work. We do not read it except as needed to operate the service or as required by law.
3. Our content
BAOKYN’s software, design, guides, templates, and brand belong to us. You may use them as part of the service. You may not copy, resell, reverse engineer, or build a competing product from them.
Documents you create using our templates and builders are yours under Section 2. The template is ours; what you write in it is not.
4. What the AI Assistant will and will not do
BAOKYN’s AI Assistant will not produce original work for you to submit as your own — an essay, a story, a script, an argument. It will transcribe, turn a transcript into a structured document, organize, summarize, answer questions about your own material, flag problems in your writing (spelling, repetition, clarity, consistency), and suggest edits. It reshapes what you brought, and does not invent what you did not.
Some of these tools run entirely in your browser and send your text nowhere: Proofread, Copyedit, and Brand Check are mechanical — pattern matching, edit distance, and string comparison — and make no AI call. Others send your content to an AI provider in order to answer you — for example, generating a structured document from a transcript, answering a question about a file, or the Line Edit suggestions — as described in the Privacy Policy.
This is a deliberate product decision, not a limitation we are apologizing for. It is what makes BAOKYN appropriate for students and academic settings.
You remain responsible for your work. AI features can be wrong, and suggestions can be mistaken. Check anything that matters before relying on it.
If you use BAOKYN for school, you are responsible for following your institution’s rules on acceptable assistance.
5. Plans and payment
Current plans, prices, and what each includes are on our pricing page. Prices are in US dollars.
Billing. Paid plans bill in advance, monthly or annually, and renew automatically until cancelled. Payments are processed by Stripe; we never see your card number.
Cancelling. You can cancel at any time from your billing settings. Your plan stays active until the end of the period you have already paid for, then stops. We do not prorate a partial period.
Refunds. If you are unhappy with a paid plan, contact us within 14 days of your first payment and we will refund it in full. This applies to your first purchase of a plan, not to renewals. Renewals are not refunded, but you can cancel at any time before one and you will keep access through the period you already paid for.
If you are a consumer in the EU or UK, you have a statutory right to withdraw from a purchase within 14 days. We honor that right rather than asking you to waive it.
Price changes. If we change the price of your plan, we will tell you before it takes effect and you can cancel.
Included allowances. Plans include limits on storage and transcription minutes. If you exceed them, the related features pause until the next period or until you upgrade or purchase more. We will not silently charge you for going over.
6. Sharing
If you create a public share link, anyone with that link can see what you shared. Password protection is available. Treat share links as public.
You are responsible for what you share and for having the right to share it.
7. Acceptable use
Do not use BAOKYN to:
- Break the law, or infringe someone else’s copyright, trademark, or privacy
- Upload content you do not have the right to upload
- Harass, threaten, or impersonate anyone
- Upload malware, attack the service, or try to gain access you were not given
- Scrape, resell, or redistribute the service
- Circumvent plan limits or share one account across many people
If you seriously or repeatedly break these rules, we may suspend or close your account. Where we reasonably can, we will tell you first and give you a chance to export your work.
8. Availability and changes
BAOKYN is a growing product. We add, change, and occasionally remove features.
We aim to keep the service running, but we do not promise uninterrupted availability. Maintenance happens, and third-party providers we depend on can fail.
If we remove a feature you rely on, we will give notice where we reasonably can. If a paid feature is removed mid-term and it materially changes what you bought, contact us and we will make it right.
9. Ending the agreement
You can leave at any time. Cancel your plan or close your account from settings.
When you delete something, what happens next depends on what it is. Deleted drafts move to Trash and stay there until you delete them permanently — there is no timer. Deleted uploads and projects are recoverable for a grace period and then permanently removed. Closing your account removes everything after that grace period. This is described in full in the Privacy Policy.
Export your work before you go. Once a draft is deleted permanently, or once the grace period ends for uploads and projects, deletion is permanent and we cannot recover it.
We may close an account for a serious violation of these terms, non-payment, or if we are legally required to. Except where the law or the seriousness of the violation prevents it, we will give you notice and an opportunity to export.
10. Warranties and liability
BAOKYN is provided “as is.” We do not warrant that it will be error-free, uninterrupted, or fit for a particular purpose.
Keep your own copies of work that matters to you. BAOKYN stores your work carefully and offers export, but no online service is a substitute for your own backup. This is the most practical sentence in this document.
To the fullest extent the law allows, BAOKYN’s total liability arising from these terms or your use of the service is limited to the amount you paid us in the twelve months before the claim. We are not liable for indirect, incidental, or consequential damages, or for lost profits, lost data, or lost work.
Nothing here limits liability that cannot legally be limited — including for fraud, or for death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
11. Indemnity
If someone brings a claim against us because of content you uploaded or because you broke these terms, you agree to cover our reasonable costs in defending it. We will tell you promptly and you can take over the defense.
12. Changes to these terms
We may update these terms. We will post the new version here and update the date. For a change that materially affects your rights, we will notify you before it takes effect. Continuing to use BAOKYN after that means you accept the new terms.
13. Governing law and disputes
These terms are governed by the laws of the State of Wisconsin, United States, without regard to conflict-of-law rules. Disputes will be brought in the state or federal courts located in Wisconsin.
If you are a consumer in the EU, UK, or another jurisdiction whose law gives you the right to bring claims locally, this section does not take that right away.
14. The rest
If a provision is found unenforceable, the rest still applies. Our not enforcing something is not a waiver of it. You may not transfer this agreement; we may transfer it as part of a sale or reorganization of the company.
These terms and the Privacy Policy are the whole agreement between us about the service.
